Legal Advisory & Compliance:
- Provide sound legal advice to management and other departments on matters related to company operations in tourism, holding companies, and investments.
- Ensure the company’s compliance with applicable laws, regulations, and policies, including corporate governance, labor laws, and sector-specific regulations.
- Stay updated on legal developments in relevant industries and advise management on the impact of changes in laws or regulations.
Contracts Management:
- Draft, review, and negotiate contracts, including joint ventures, shareholder agreements, investment contracts, service agreements, and other legal documents.
- Ensure that all contracts comply with legal standards and mitigate risks to the company.
- Manage contract renewals, amendments, and termination processes.
Risk Management:
- Identify and evaluate potential legal risks across all business activities, including tourism operations, investment decisions, and holding company governance.
- Develop risk mitigation strategies and ensure legal risk management procedures are in place.
- Advise the board on potential legal risks related to strategic decisions, mergers, acquisitions, or investments.
Corporate Governance:
- Ensure compliance with corporate governance regulations for the holding company and all subsidiary companies.
- Assist in preparing board meeting agendas, minutes, and resolutions.
- Oversee regulatory filings and documentation required by relevant authorities, such as SEBON (Securities Board of Nepal) and other sectoral regulators.
Legal Documentation & Record Keeping:
- Maintain an organized repository of legal documents, contracts, agreements, and regulatory filings.
- Ensure proper documentation of company policies and procedures in alignment with legal requirements.
